1. Acceptance of Terms

By creating an account, accessing, or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you are using the Services on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these Terms. In that case, "you" and "your" will refer to that organization.

2. Description of Services

Pushinn Labs LTD provides Pushinn Pro, a location-based social and competitive mobile application for skateboarders and BMX riders, and its associated pushinn.app website. Our Services include, but are not limited to, real-time spot intelligence, user-generated content (skate clips), competitive battles, territorial claiming, and a community archive.

We reserve the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. You agree that we shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

3. User Obligations

As a user of our Services, you agree to:

• Provide accurate, current, and complete information as may be required for the use of our Services.
• Maintain the confidentiality of your account login information and be responsible for all activities that occur under your account.
• Use the Services only for lawful purposes and in accordance with these Terms.
• Not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without our express written permission.

4. User-Generated Content (UGC) & Intellectual Property

All intellectual property rights in the Services, including but not limited to copyrights, trademarks, trade secrets, and patents, are owned by Pushinn Labs LTD or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal or internal business use, subject to these Terms.

You agree not to copy, modify, distribute, sell, or lease any part of our Services, nor may you reverse engineer or attempt to extract the source code of our software, unless laws prohibit those restrictions or you have our written permission.

Any content you upload, submit, or transmit through our Services (including skate clips, photos, text comments, spot reports, and competitive data) remains your intellectual property. However, by submitting content, you grant Pushinn Labs LTD a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform the content in connection with the Services and our business (including for promotion and marketing) and across any media formats and through any media channels.

You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish content you submit. You further agree that your UGC will not violate any third-party right, including any copyright, trademark, privacy right, or other personal or proprietary right.

We reserve the right to moderate, remove, or refuse to publish any UGC that violates these Terms or our community guidelines, or for any other reason, at our sole discretion.

5. Fair Play & Prohibited Conduct

To maintain the integrity of Pushinn Pro's competitive environment and community, certain conduct is strictly prohibited:

• Cheating: Any attempt to manipulate scores, game mechanics, location data (e.g., GPS spoofing), or battle outcomes through unauthorized means (e.g., bots, hacks, scripts, exploiting glitches).
• Fraud: Creating fake accounts, submitting false UGC, or misrepresenting your identity or actions.
• Abuse & Harassment: Engaging in any form of harassment, hate speech, discrimination, or abusive behavior towards other users or our staff.
• Unauthorized Access: Attempting to gain unauthorized access to our systems, data, or other users' accounts.
• Commercial Use: Using the Services for unauthorized commercial purposes (e.g., selling access, promoting unrelated businesses) without our express permission.
• Violation of Laws: Any activity that violates local, national, or international laws.

Violation of these rules will result in immediate suspension or termination of your account, and may lead to legal action.

6. Limitation of Liability

To the maximum extent permitted by law, Pushinn Labs LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; and (d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Our total liability to you for any damages arising out of or related to these Terms or the Services, regardless of the form of the action, will at all times be limited to the amount you paid to us for the Services in the twelve (12) months preceding the claim, or £100, whichever is greater.

7. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms or our Fair Play & Prohibited Conduct policies. Upon termination, your right to use the Services will immediately cease.

8. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration in London, England, in accordance with the Arbitration Act 1996.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the website and the Services.
